Background
This agreement is made between you and Local Vets.
Local Vets enables your practice to stay small but think big by promoting your practice and supporting its growth and development.
Local Vets only works with independently owned practices and offers a range of services (“the Services”) as part of a monthly subscription package. Additional services (“the Additional Services”) are also available at extra cost.

This agreement
In working with you, we will always do our best to fulfil your needs and meet your expectations. Accordingly, it’s important to have things written down so that we both know “what’s what”, who should do what and when, and what will happen if something goes wrong. In this contract you shouldn’t find any complicated legal terms or long passages of unreadable text. We’ve no desire for you to agree to something that you don’t understand or might later regret. What we do want is what’s best for both parties, both now and in the future.
This agreement is designed to help you to understand what we o er you, how you pay for it, and what you need to do if you no longer want the Services. There are
some other important points which we need to cover from a legal perspective, such as dealing with our Data Protection obligations.
Subscription
Your subscription (“the Subscription”) entitles you to support with promoting your practice, sending an email newsletter and social media posting alongside a range of ancillary products and services which may be added or amended from time to time.
In addition, the Subscription provides you with a profile page (“your Profile Page’) on the Website. Your Profile Page shall contain information about your practice including, but not limited to, your practice name, phone number, address, map location, profile photo, Facebook feed, and Total Health articles.
Your Profile Page is intended to showcase your practice as a Local Vets approved practice. The Profile Page shall be accessible from the Website by typing into the practice finder facility the town, city or postcode within a reasonable radius of your practice. Alternatively, Your Profile Page may be accessible directly from search engines such as Google when a search is carried out for your practice name, or for vets in your location.
Additional Services
From time to time, Local Vets may provide you with additional services (“the Additional Services”). Separate terms and conditions may be issued to you or terms may be agreed by email.
We may sometimes introduce you to services provided by third parties which we think may be useful to you. Where a service is provided by a third party, you shall enter into an agreement with that third party and be governed by the terms and conditions they provide to you. Local Vets carefully selects the third party organisations it introduces to you. We shall only introduce you to organisations which we believe may o er you an effective and efficient service. However, the services provided by any third party are not the responsibility of Local Vets.
Fees and Payment
The monthly fee for your Subscription for the Services is £199 plus VAT per month. If you purchase Additional Services, additional charges may apply. For example, if you work with us to design and build a website, we shall make additional charges and they will be set out in a separate agreement with you.
We reserve the right to vary the Subscription Fees upon 30 days’ notice.
You may receive a discount by purchasing multiple services from us. If you cancel a particular service but maintain another, you will no longer be eligible for the discount and we will notify you of your revised monthly price.
When you start your Subscription with Local Vets, you shall be invited to set up a direct debit payment for the monthly Subscription Fees. We use a direct debit collection agency called GoCardless. Your payments shall be collected by GoCardless and this shall be the name which appears on your bank statements. Your payments are protected by the Direct Debit Guarantee. We shall also use this form of payment collection should any Additional Services be purchased from us unless otherwise agreed.
Promotions
As a Local Vets approved practice, you may participate in the Promotions. The Promotions are intended to highlight a different “Total Health” topic each month. The Promotions run for one calendar month each, commencing from the 1st of each month. Local Vets approved practices are invited to o er free or discounted nurse health checks as the key component of the promotion. As part of each promotion, we invite you to o er clients a discount on any products or services purchased as a consequence of the health check carried out. We do not require you to o er a discount and do not prescribe the level of discount. As an alternative to offering a discount, you may wish to provide free samples or run a free or discounted test as part of each promotion, but again this is entirely up to you.
Newsletter
To support the Promotions, we shall send to your clients a monthly email (“the Newsletter”). One article shall focus on the Total Health topic for that month and the other articles shall be topical pet health or pet lifestyle topics relevant to the time of year. The articles shall be hosted on your Profile Page and accessible to any person who views the page.
You may add your own content for inclusion in the Newsletter. It is your responsibility to ensure that your article and any associated image does not infringe the intellectual property rights of third parties. If you do not have any practice specific news in a particular month, we shall simply send the Newsletter with our standard content. We reserve the right to remove any content which we consider at our discretion to be illegal, defamatory, offensive or inappropriate, or which we believe infringes the intellectual property rights of others.
In order to be send the Newsletter to clients, we shall require their email addresses. You may already have collected email addresses from your clients for marketing purposes. If so, you shall to provide us with a database of client names and email addresses.
We process all personal information in accordance with the General Data Protection Regulation (GDPR) and you shall find further information about this later in this agreement. For the purpose of sending the Newsletter we act as your agent as a ‘Data Processor” within the meaning of GDPR and do so on the basis that your clients have opted in to receive communications by email. It is at all times your responsibility to ensure that your clients wish to receive communications sent on your behalf or that you consider you have a legitimate interest in contacting your clients about your services, save that we shall remove from our database any clients who opt out of receiving the Newsletter. You may find that the number of clients willing to receive your newsletter fluctuates as new subscribers are added and existing subscribers unsubscribe.
Social Media
To support the Promotions, we shall make daily posts to Facebook your practice’s Facebook page. We do not invite you to approve these posts in advance. The posts we make are intended to be educational, informative or entertaining and shall be based around that month’s Total Health topic. We may run competitions or polls, post relevant photos or links to third party content which we consider to be of interest to pet owning clients. For the avoidance of doubt, we do not provide a Facebook management service as part of your Subscription, and we shall not respond to comments or messages posted on your Facebook page whether in response to a post made by us or otherwise. If you require a full Facebook management service, please ask about this service.
If you do not have a Facebook page for your practice, we can assist you to set one up. Where your practice has a Facebook page, we can only post to your practice’s page if we have “Administrator” or “Editor” rights over your Facebook page. We can provide guidance about how to achieve this. If you have diffculty providing us with Administrator or Editor rights, we shall seek to assist you. However, please note that only the Administrator of your Facebook page can grant us the rights we need and we cannot do so ourselves.
The Local Vets name and logo
You are permitted to refer to your practice as a Local Vets approved practice during your Subscription. You may alternatively wish to call your practice a member of Local Vets. You may display the Local Vets approved practice logo at your Practice and on your website. The right to display the Local Vets approved practice logo or describe yourself as a Local Vets approved practice, and your access to copyrighted material belonging to us shall cease in the event your Subscription lapses or is cancelled or terminated.
Cancellation
Your Subscription runs from month to month and can be cancelled at any time by notifying us in writing. Your Subscription shall end on the day before your next payment is due. We recommend that you cancel your payment instructions when you cancel your Subscription to ensure no further payments are taken.
We reserve the right to cancel the engagement between us with immediate effect in the event of:
Your insolvency, bankruptcy or other arrangement being reached with creditors;
Your failure to pay our fees by the due dates and to remedy the position within 7 days;
Your lack of eligibility to provide veterinary services; The purchase of your practice by a corporate group;
Any allegations whether proven or unproven which suggest that anyone in the employment of your practice is unfit to practice or is associated with animal welfare concerns.
Data protection, privacy and security
To enable us to provide the Services, and for other related purposes including updating and enhancing client records, analysis for management purposes and statutory returns, crime prevention and legal and regulatory compliance, we may obtain, use, process and disclose personal data about you, your business, company or partnership and/or its officers and employees. We confirm when processing data on your behalf that we shall comply with the relevant provisions of the General Data Protection Regulation.
Local Vets is committed to protecting your privacy and developing technology that gives you the most powerful and safe online experience. By using the Website, you consent to the data practices described in these terms and conditions.
Local Vets is registered with the Information Commissioner.
Collection of personal information
Local Vets collects personally identifiable information, such as your e-mail address, name, work address and telephone number.
There is also information about your computer hardware and software that is automatically collected by Local Vets. This information can include: your IP address, browser type, domain names, access times and referring website addresses. This information is used by Local Vets for the operation of its Services, to maintain quality of the Services, and to provide general statistics regarding use of the Local Vets website.
Details of data held by Local Vets
Local Vets may maintain personal information about your practice, your clients and your staff. This enables Local Vets to provide the Services and is a crucial part of what we o er. Data on Practices includes: name, address, telephone, fax, e- mail address and website address.
You may request a written copy of the details held about you. This is called a data subject access request. Please write to us at Local Vets, 3 Southernhay West, Exeter, EX1 1JG with your request.
Use of your personal information
Local Vets collects and uses your personal information to deliver the Services you have requested. Local Vets may also share your personal information with external business partners for the specific purpose of monitoring the effectiveness of, and the appropriate use of, any Services we have set in place with such providers.
Local Vets also uses your personally identifiable information to inform you of other products or services available from Local Vets and its affliates, where it is able to do so under the various agreements it has in place with external business partners. Local Vets may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered.
Local Vets does not sell, rent or lease its client data to third parties. Local Vets may, from time to time, contact you on behalf of external business partners about a particular offering that may be of interest to you or to them. In those cases, unique personally identifiable information (e-mail, name, address, telephone number) is not transferred to the third party. In addition, Local Vets may share data with trusted partners to help us perform statistical analysis, send you email
or postal mail or provide customer support. All such third parties are prohibited from using your personal information except to provide these services to Local Vets, and they are required to maintain the confidentiality of your information.
Data about your clients
Local Vets collects and uses personal information about your clients in order to deliver the Services. Local Vets may also share client information with external business partners for the specific purpose of carrying out the Services on the basis of agreements which we have in place with such providers.
Local Vets may also use personally identifiable information about your clients to inform them of products or services available from you.
Local Vets does not sell, rent or lease your client data to third parties. Only ever with your consent, Local Vets may, from time to time, contact your clients on behalf of external business partners about a particular offering that may be of interest to them. The personal information of your client is processed in accordance with the General Data Protection Regulation. To the extent that you provide email address data to Local Vets for the purpose of carrying out the Services, we are entitled to assume that you have collected such data in accordance with the applicable laws. Specifically, we are entitled to assume that clients who have provided you with their email address have consented to receiving electronic communications from you.
Where you have collected email addresses from clients as part of your client registration process, it is your obligation to appropriately assess whether your clients have opted in to receiving communications from you or whether you consider that you have a legitimate interest in contacting them by email. If you are unsure about any aspect of your obligations with regards to data protection law, please let us know and we will be happy to discuss this with you further.
Local Vets in entitled to assume that you have an appropriate privacy policy available to your clients which explains the basis upon which you use their
personal information. You hereby indemnify us for any losses howsoever caused by your failure to comply with your legal obligations in respect of client data collection.
Local Vets ensures that your clients have the opportunity to opt out of email communications from us by following a link in any email we send. We shall store the details of clients who have opted out of receiving emails from us but they shall not receive further communications unless they subsequently opt back in.
Submission of personal information to Local Vets
From time to time you shall be asked to submit to Local Vets personal information pertaining to you and your clients. This information shall be submitted through over the internet. Any information you submit to us through the Website shall be secured by the globally recognised SSL Certificate with 128- bit to 256-bit SSL encryption. Our Website, and the data we collect, is hosted on EU based servers. Should you choose to submit an information to us by email, you acknowledge that we cannot guarantee the security of any email communications.
Confidentiality
We confirm that, where you give us confidential information, we shall at all times keep it confidential, except as required by law. We may, on occasion, subcontract work on your a airs to other professionals. The subcontractors shall be bound by our client confidentiality terms.
Rights of Third Parties
Persons who are not party to the agreement between us shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any aspect of our contract or Terms and Conditions. This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.
The information we provide to you is for your sole use and is confidential to intended for any third party. We accept no responsibility to third parties for any aspect of the Services.
Applicable law
The agreement between us is governed by, and construed in accordance with, English law. The Courts of England shall have exclusive jurisdiction in relation to any claim, dispute or difference arising.
If any provision in these terms and conditions, or its application, are found to be invalid, illegal or otherwise unenforceable in any respect and for whatever reason, then that provision shall be deemed not to form part of the contract. The validity, legality or enforceability of any other provisions shall not in any way be affected.
Limitation of liability
Any liability to you as a result of our errors or omissions shall be limited to the amount you have paid us under this agreement.
Dispute Resolution
We shall provide the Services with reasonable care and skill. However, no liability is accepted for any loss or damage arising out of the provision of the Services.
We don’t expect any dispute to arise about the Services we provide to you. If there are any problems with the Services, you can always speak to one of our team by calling 03330 80 80 75 and we shall do everything we can to put things right.
If a serious issue arises which requires formal resolution you must report the issue to us as soon as possible and arrange to meet with our Founder, Matthew Dunne, within 14 days to discuss how the matter can be resolved. If no resolution is reached, you must agree to the appointment of a third party mediator chosen by mediation provider Clerksroom. The costs of the mediator are to be shared equally between the parties.
Concerns about our service
If at any time you would like to discuss with us how our service to you could be improved, or if you are dissatisfied with the service you are receiving, or you have questions or complaints about any of our services or products we provide, please email our Founder, Matthew Dunne at matt@lovelocalvets.com.
We undertake to look carefully and promptly into any complaint and shall do all we can to explain the position to you.
